📋 Description

• Manage and conduct ethics & compliance pre-close due diligence and post-close integration for M&A deals, including acquisitions, investments, and divestitures • Serve as the Ethics & Compliance business partner for LATAM, excluding Brazil • Partner with Business Development, Legal, Regulatory, and LATAM business leaders • Oversee outside counsel, consultants, auditors, budgets, engagement letters, and deliverables • Prepare risk-ranked due diligence assessments and proposed pre- and post-close remediation plans • Participate in internal deal-team meetings and external meetings with underwriters and subject companies • Facilitate and track pre- and post-closing remediation actions • Prepare reports and presentations for executive management and other audiences • Review draft transactional agreements and advise Legal on contract provisions • Notify Ethics & Compliance and other internal teams of closed acquisitions and investments • Analyze regulatory and legal compliance requirements and determine their impact on M&A deals and regional operations • Manage, oversee, promote, and enhance the Ethics & Compliance program across LATAM excluding Brazil • Develop and implement compliance policies, guidelines, education, and communications • Advise LATAM operations on legal and regulatory compliance, risk management, and issue resolution • Lead regional Ethics & Compliance initiatives involving anti-bribery, fraud and abuse, marketing structures, data protection, and government contracting • Assist with risk assessments, compliance audits, culture surveys, focus groups, and monitoring activities • Assist with internal investigations, business partner and government inquiries, Helpline responses, and related resolutions • Ensure transparency, relevant reporting, and periodic training requirements are met

🎯 Requirements

• Ethics, compliance and/or legal experience in an organization subject to pharmaceutical, medical device or other relevant healthcare compliance laws and regulations preferred • Life Sciences or Healthcare compliance industry experience preferred, preferably including anti-bribery and corruption, other customer incentives and marketing structures, data protection, government contracting • Knowledge of foreign healthcare fraud and abuse laws, relevant Data Privacy legislation and experience with Transparency reporting a plus • International working experience preferred • English and Spanish fluency required • Excellent understanding of industry practices • Strong proficiency with tools, systems, and procedures • Excellent planning/organizational skills and techniques • Excellent independent decision making, analysis and problem solving skills • Outstanding verbal and written communication skills • Excellent presentation and public speaking skills • Excellent interpersonal skills • Excellent conflict resolution skills and ability to deliver difficult messages • Ability to build partnerships at all levels within the company • Good negotiating skills • Ability to resolve complex issues in effective ways • Project management, consultative skills and ability to manage a budget • Specialist in multiple technical and/or business skills • Ability to cultivate and develop lasting internal and external customer relations • Typically 8 or more years of increasing responsibility and complexity in terms of any applicable professional experience
