📋 Description

• Lead drafting, review, and negotiation of customer-facing commercial agreements, including SaaS and software agreements, master services agreements, order forms, statements of work, amendments, NDAs, data protection addenda, security terms, and partner or reseller agreements • Lead review and negotiation of vendor and procurement agreements covering software, cloud, professional services, consulting, marketing, technology, and other third-party services • Partner with Sales and Revenue Operations on strategic and high-value transactions, contracting issues, and acceptable risk positions • Advise Procurement, Finance, Information Security, Privacy, Product, and business owners on vendor risk, commercial terms, data use, intellectual property, confidentiality, security, liability, indemnification, and termination rights • Own assigned commercial matters from intake through execution, prioritizing by business impact, transaction value, risk, and timing • Support corporate, employment, compliance, dispute, and legal operations matters as business priorities require • Develop and improve contract templates, playbooks, clause libraries, fallback positions, approval standards, and self-service resources • Identify recurring negotiation issues and recommend process improvements to reduce cycle time and strengthen Legal-business partnership

🎯 Requirements

• Juris Doctor from an accredited law school • Active membership in good standing in at least one U.S. state bar • Typically 5–7 years of relevant legal experience, including substantial in-house commercial contracting experience within a technology, SaaS, or similarly complex business environment • Demonstrated experience independently negotiating sophisticated customer and vendor agreements involving material commercial, privacy, security, intellectual property, indemnification, limitation of liability, and regulatory terms • Strong experience partnering directly with Sales on revenue-generating transactions and with business stakeholders on vendor and procurement matters • Ability to evaluate legal and business risk, establish priorities, make sound decisions, and explain recommendations in concise, practical language • Strong drafting, negotiation, project-management, and stakeholder-management skills • Consistent attention to detail and responsiveness • Comfort taking ownership with limited supervision • Familiarity with global privacy requirements, data protection addenda, security reviews, or cross-border commercial matters (nice to have)
