📋 Description

• Lead the review, drafting, redlining, and negotiation of MSAs, service agreements, EPC agreements, Design-Build agreements, and other complex commercial contracts • Develop negotiation strategies protecting Pearce’s commercial, operational, and financial interests while supporting revenue, margin, and customer objectives • Evaluate contractual requirements for EPC and Design-Build projects, including scope, schedule, performance obligations, change management, payment milestones, warranties, and risk allocation • Identify contractual risks and develop practical solutions with Sales, Operations, Finance, Procurement, Safety, Billing, and other stakeholders • Negotiate liability, indemnification, warranties, liquidated damages, SLAs, insurance, termination rights, payment terms and escalators, intellectual property, force majeure, and compliance requirements • Ensure compliance with delegation of authority and contract approval requirements • Develop risk-assessment standards and approval workflows for non-standard contract terms • Establish and maintain contract risk reporting, metrics, and performance measures • Coordinate contract renewals and communicate upcoming requirements and deadlines to business teams • Develop and maintain standard contract terms, templates, negotiation guidelines, and playbooks • Implement and optimize CLM processes, systems, and workflow automation • Drive continuous improvement initiatives reducing contract cycle times while maintaining governance and risk controls • Lead, mentor, and develop contracts professionals and support personnel • Provide contract and negotiation training to business stakeholders

🎯 Requirements

• 10+ years of experience in commercial contracts, contract negotiations, procurement, strategic sourcing, legal operations, or a related discipline • 5+ years of progressive leadership experience • Demonstrated experience reviewing and negotiating complex commercial agreements and MSAs • Strong understanding of EPC and Design-Build agreements, including commercial terms, project delivery requirements, risk allocation, change orders, schedule obligations, warranties, and performance requirements • Experience supporting multi-million-dollar customer contracts, construction projects, or service engagements • Strong understanding of commercial terms, contract risk allocation, and negotiation strategies • Proven ability to partner with Sales, Operations, Finance, Procurement, Legal, and executive leadership • Strong analytical, negotiation, communication, and stakeholder-management skills • Experience developing contract standards, approval processes, or risk-management frameworks • Ability to manage multiple complex negotiations and priorities in a fast-paced environment • Preferred: Experience within energy, renewables, telecommunications, infrastructure, construction, engineering, field services, industrial services, or technology • Preferred: Experience negotiating contracts involving engineering, construction, procurement, or large-scale infrastructure projects • Preferred: Experience with Contract Lifecycle Management (CLM) platforms • Preferred: Experience implementing contract-management systems, workflow automation, templates, or contracting playbooks • Preferred: CCCM, CPCM, or similar contract-management certification • Preferred: Familiarity with federal, state, and commercial contracting requirements
