📋 Description

• Manage entity formation and setup for emerging companies. • Oversee equity and debt financings, including structuring and negotiation. • Draft and negotiate commercial contracts. • Provide counsel on corporate governance and compliance matters. • Advise on employment law and equity compensation strategies. • Manage capitalization tables and related documentation. • Handle mergers and acquisitions (M&A) transactions. • Serve as “outside general counsel” to clients. • Address other general corporate legal matters as needed. • Collaborate closely with the Managing Partner to deliver client-focused solutions. • Stay informed on developments in On-chain and Crypto technologies.

🎯 Requirements

• Juris Doctor (J.D.) degree with strong academic credentials. • Membership in the New York State Bar is preferred but not required if admitted in another jurisdiction. • 2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company. • Knowledge and experience in blockchain technologies are preferred but not required. • Excellent project management, analytical, and communication skills, both oral and written. • Proven ability to work independently while staying connected in a remote work environment, especially if located separately from other team members.
