📋 Description

• Draft, review, negotiate, and execute commercial agreements, including customer agreements, vendor agreements, non-disclosure agreements, amendments, and related transactional documents • Partner with Sales, Customer Success, and other internal teams on transactions and contracting matters supporting company growth • Provide practical, business-oriented legal guidance on commercial and contractual matters, including contract interpretation and risk allocation • Support Customer Success with client contract-administration processes, requests, notices, renewals, and execution of legal documents • Support procurement and vendor-management activities, including third-party terms and vendor-agreement negotiation • Partner with Privacy, Compliance, Regulatory, Security, Operations, and other subject-matter experts throughout the contract process • Help ensure adherence to contract-related policies and procedures and resolve contract issues • Improve forms, policies, playbooks, and processes to streamline, simplify, and automate contracting • Support legal due diligence, strategic initiatives, and other corporate projects • Build collaborative stakeholder relationships and provide problem-solving support • Meet or exceed expectations for responsiveness to company priorities • Enable timely, informed business decisions during contract negotiations • Manage assigned matters from intake through execution with sound judgment, ownership, and reliability

🎯 Requirements

• J.D. from an accredited law school • Active membership in good standing with at least one U.S. state bar • 4+ years of relevant legal experience, preferably advising fast-paced healthcare, health-tech, technology, or other regulated organizations, in-house or in private practice • Demonstrated experience drafting, reviewing, and negotiating commercial contracts • Ability to identify and assess legal and business issues efficiently, evaluate risk, and provide practical recommendations grounded in sound business judgment • Strong business acumen and ability to manage multiple priorities in a busy, evolving environment • Exceptional drafting, negotiation, communication, organizational, project-management, and prioritization skills • Strong sense of ownership and accountability for assigned work • High integrity, professionalism, intellectual curiosity, and willingness to learn and grow • Ability to build effective working relationships with colleagues at all levels • Commitment to maintaining confidentiality of proprietary, sensitive, and personnel information • Nice to have: experience negotiating SaaS, technology, healthcare, or other regulated commercial agreements • Nice to have: familiarity with customer, vendor, technology, data protection, marketing, and other complex commercial contracts • Nice to have: experience supporting a high-growth technology company • Nice to have: experience building contracting infrastructure or implementing contract lifecycle management tools
