Windsor Path is a growing ecosystem of accounting and tax firms in the U. S. that partners with local practices to provide shared resources, operational scale, and strategic support while preserving each firm’s local identity and ownership. The organization helps member firms access the capabilities of a larger platform to free partners’ time, drive growth, and create expanded opportunities for teams, aiming to build a Top-50 tax and accounting firm nationally.

📋 Description

• Build and maintain valuation models for prospective member firms, including normalized/adjusted EBITDA, pro forma projections, and returns analysis • Model deal structures including cash at close, rollover equity, and deferred consideration, and assess impacts on platform-level returns • Analyze preliminary financials and identify key value drivers, risks, and questions for sellers • Prepare materials supporting LOI and proposal development • Maintain and update the platform-level acquisition model as deals close • Lead post-LOI financial diligence, including revenue quality, client concentration, WIP and AR, realization rates, partner compensation, staff utilization, and revenue and client retention • Coordinate third-party QoE, legal, tax, IT, and HR advisors and keep diligence on schedule • Maintain diligence request lists, data rooms, and issue tracking • Summarize findings and recommendations for investment decisions and own investment memos • Support purchase agreement review and closing mechanics, including funds flow • Prepare quarterly investor updates, board materials, and ad hoc analyses • Respond to occasional investor information requests • Build and maintain dashboards tracking member firm performance against budget and acquisition case • Flag performance issues and support leadership in addressing them with member firm partners • Help develop standardized reporting processes as the portfolio grows • Work closely with the Co-CEOs, VP of New Partnerships, and outside advisors

🎯 Requirements

• 3-6+ years of experience in investment banking, private equity, transaction advisory/QoE, or corporate development • Advanced financial modeling skills, including three-statement, LBO/returns, and valuation analysis • Must complete a modeling test in the interview process • Hands-on experience running or supporting financial due diligence on acquisitions • Strong accounting foundation and the ability to read, normalize, and pressure-test small business financial statements • Excellent organizational skills and the ability to manage multiple deal and reporting workstreams at once • Clear, concise written communication for preparing materials for investors and leadership • Experience with professional services M&A, particularly accounting, tax, or advisory firms (preferred) • Experience at a PE-backed platform or roll-up executing add-on acquisitions (preferred) • Applicants must be authorized to work for any employer in the U.S.
