📋 Description

• Draft, negotiate, and close commercial agreements including data licensing agreements, SOWs, NDAs, BAAs, DPAs, and novel arrangements • Counsel business, partnerships, engineering, and technical teams on HIPAA, de-identification, consent, provenance, GDPR/CCPA, and emerging AI regulation • Triage and manage a high-volume legal queue with dozens of active matters • Translate legal risk into clear, practical guidance for technical teams and counterparties • Manage and coordinate outside counsel on specialist matters while controlling scope and spend • Build legal infrastructure including templates, playbooks, intake processes, and AI-assisted workflows • Partner with partnerships, BD, healthcare, product, engineering, and outside counsel • Run data license negotiations from intake through signature • Own privacy workstreams such as de-identification posture, cross-border transfers, and privacy policy maintenance • Improve legal operations and become the trusted first legal contact for the business

🎯 Requirements

• 6+ years of relevant legal experience • Significant depth in technology transactions and privacy • Healthcare, HIPAA, GDPR, and CCPA experience strongly preferred • Experience negotiating and closing complex technology or data transactions end-to-end • Experience owning substantive privacy program work, including HIPAA, de-identification, GDPR/CCPA, DPAs, and BAAs • Experience managing a high-volume legal queue and triaging multiple matters • Ability to operate effectively in ambiguity and build processes, templates, playbooks, intake, or workflows • Fluency with Slack, Notion, Google Drive, and AI systems used for legal triage and drafting • Ability to counsel colleagues and negotiate with counterparties using practical, calm, solution-focused communication • JD • Active bar membership in at least one U.S. jurisdiction • Preferred: in-house technology-company experience, ideally involving AI, training data, or health data • Preferred: data licensing or data-centric commercial deal experience • Preferred: familiarity with Expert Determination and Safe Harbor de-identification standards • Preferred: experience as an early or solo in-house lawyer
