📋 Description

• Lead and manage the contracting process for global sales and strategic partnership deals. • Develop, maintain and optimize standardized contracting templates and related documents. • Draft, review, negotiate, close and advise on master services agreements and related sales materials. • Handle reseller, referral, finder’s fee, marketing collaboration, education benefit, channel, integration, affiliate, promotion, side-letter, non-standard deal and amendment agreements. • Advise teams on data privacy and security and partner with the Privacy team on data sharing agreements. • Conduct SDN screening and clearances and manage OFAC course blocking and embargo reviews for the edX platform. • Partner with Revenue Operations, Finance and Accounting on the Deal Desk to resolve performance and operational issues. • Improve playbooks, workflows and decision-making processes. • Create and implement internal policies and procedures supporting scalable, profitable growth and legal risk management. • Develop FAQs, language/response banks and training materials; lead training sessions. • Advise Product & Engineering, Customer Success, Solutions & Support on enterprise product risks, platform features, cross-product sales, pricing, packaging and self-service functionality. • Advise Marketing, Strategy and Product Marketing on branding, marketing compliance, intellectual property rights, contractual obligations and strategic initiatives. • Provide ad hoc support to Legal, Compliance and Privacy, including expertise on legacy edX sales products, SDN screening, OFAC course blocking, content partner renewals, learner and partner escalations and trademark matters.

🎯 Requirements

• Bachelor or Laws or Juris Doctor from an accredited law school and active membership in good standing in at least one State Bar. • 8+ years of relevant legal experience. • Ability to independently draft, negotiate and manage a high volume of various types of contracts and non-standard deals from start to finish. • Ability to improve legal operations speed, scalability and simplification and reduce manual processes and points of friction. • Excellent business acumen and judgment, including placing legal risk in business context and recommending creative, practical solutions. • Strategic and critical thinking skills and ability to advise cross-functional teams on contractual and legal risks and requirements. • Ability to respond to business demands and juggle competing priorities in a fast-paced setting. • Willingness to proactively handle ambiguous situations, new agreement and product types, and evolving business goals. • Attention to detail and excellent written and verbal communication skills. • Exceptional organizational, prioritization and change management skills. • Strong accountability and ownership; ability to work with all levels of company leadership, management and staff. • Ability to work lawfully in South Africa; foreign nationals must provide applicable work permit documentation.
