📋 Description

• Structuring and corporate reorganization, including holdings, incorporations, mergers, de-mergers (spin-offs) and other corporate transactions; • Drafting, reviewing and negotiating articles of association, bylaws and shareholders/stockholders agreements; • Preparing and maintaining corporate records and fulfilling obligations before competent authorities; • Ongoing advisory services for domestic and international clients; • Implementation and monitoring of corporate governance practices; • Liaison with commercial registries and other regulatory bodies; • End-to-end management of mergers and acquisitions transactions; • Legal structuring of corporate transactions and investments; • Coordination of legal due diligence processes; • Preparation of risk reports and strategic recommendations; • Negotiation and drafting of transactional documents, including NDAs, LOIs, MOUs, SPAs (Share Purchase Agreements), QPAs and ancillary documents; • Coordination of signing, closing and post-closing processes; • Management of timelines, workflows and multiple concurrent projects; • Team leadership and development; • Technical review of documents and quality control of deliverables; • Direct relationships with clients, investors and strategic partners; • Integrated collaboration with other practice areas of the firm.

🎯 Requirements

• Law degree; • Active membership with the Brazilian Bar Association (OAB) for at least 8 years; • Advanced English; • Postgraduate degree or specialization in Corporate Law, Business Law or related areas; • Proven experience in Corporate Law and M&A; • Experience handling mid- to high-complexity transactions; • Experience in client negotiations and relationship management; • Ability to manage multiple projects simultaneously; • Consultative, strategic and solution-oriented profile; • Experience leading and developing teams.
