📋 Description

• Analyze, negotiate and structure complex commercial contracts, especially software, technology, SaaS, licensing, services, partnership and vendor agreements. • Act as the legal focal point for strategic contracts, assessing legal risks, regulatory impacts and commercial implications for the company's various business units. • Lead contract negotiations with private and public-sector clients, including government agencies and public entities. • Conduct legal analysis of public tender documents, support participation in procurement processes and review administrative/public-sector contracts. • Manage the contract lifecycle, including drafting, negotiation, amendments, renewals and terminations. • Support contractual standardization and governance by reviewing and improving templates, standard clauses and playbooks. • Use and support the enhancement of contract lifecycle management (CLM) systems, contributing to improved workflows, controls and contract organization. • Work collaboratively with business, commercial, product, compliance, technology and finance teams, providing consultative, practical and solution-oriented legal support. • Handle corporate matters, including drafting and reviewing corporate minutes, supporting board/management deliberations, and preparing legal opinions and studies related to the group's corporate operations.

🎯 Requirements

• Law degree with active registration with the Brazilian Bar Association (OAB). • Fluent English. • Knowledge, experience or practice in: Contract law. • Experience in analyzing, negotiating and managing complex contracts in a corporate environment. • Support to multiple business units and interaction with non-legal internal stakeholders. • Legal risk analysis with a practical, mature and business-oriented approach. • Advantageous: Previous experience in technology or software companies. • Experience in the financial sector or regulated environments. • Experience with contract lifecycle management (CLM) systems. • Experience handling public-sector clients, including analysis of tender documents and administrative contracts. • Participation in projects to standardize, automate or improve legal processes using AI.
