📋 Description

• Identify and manage legal risk in commercial transactions, flagging issues clearly and proposing workable solutions rather than just problems. • Draft, review, and negotiate a high volume of varying commercial contracts, including but not limited to EPC agreements, equipment purchase and supply agreements, power purchase agreements, land licenses, and vendor/service contracts. • Serve as a strategic legal partner to the business development, procurement, construction, and finance teams — providing practical, deal-forward guidance under time pressure. • Build and maintain Giga’s contract templates, playbooks, and standard terms to enable the business to move faster and more consistently. • Support financing and real estate transactions as needed, including review of lease agreements, easements, and financing documents. • Manage outside counsel relationships on commercial matters, including scoping work, managing spend, and ensuring quality output. • Support the development of legal processes and infrastructure as Giga scales, including contract management systems and internal workflows. • Stay current on legal developments relevant to energy infrastructure, construction, and AI data center development.

🎯 Requirements

• JD from an accredited law school and active bar admission in at least one U.S. jurisdiction. • 4+ years of commercial transactional experience, either in a law firm or in-house environment. • Demonstrated experience negotiating complex commercial contracts, ideally in construction, energy, real estate, or infrastructure. • Ability to work independently with a high degree of ownership — you don’t wait to be told what needs to happen next. • Strong written and verbal communication skills, with the ability to translate legal complexity into plain business language. • Comfort operating in a fast-paced, high-growth environment where priorities shift and speed matters.
