📋 Description

• Work on corporate law matters for publicly traded and privately held companies, ensuring compliance with applicable legislation and best corporate governance practices. • Draft, review and organize corporate documents, including minutes, powers of attorney, bylaws, articles of incorporation, shareholder agreements and other governance instruments. • Coordinate and execute procedures before Commercial Registries, the Brazilian Federal Revenue (Receita Federal) and other regulatory bodies. • Support the Company in meeting its regulatory obligations before the Brazilian Securities Commission (CVM) and other capital markets entities. • Support the preparation and conduct of General Shareholders’ Meetings, Board of Directors meetings, Committees and management meetings, including organizing materials, draft documents, resolutions and tracking outstanding items. • Be responsible for the maintenance and organization of corporate books and other corporate records. • Draft, review and negotiate strategic contracts, ensuring alignment with Company guidelines and mitigation of legal risks. • Advise different business areas on corporate, contractual and corporate governance matters. • Participate in strategic projects, corporate reorganizations, corporate transactions and corporate transformation initiatives. • Contribute to the continuous improvement of processes, internal policies and governance practices.

🎯 Requirements

• Bachelor's degree in Law. • Active registration with the Brazilian Bar Association (OAB). • Advanced English for reading, drafting and reviewing legal documents and for interaction with international stakeholders. • Intermediate to advanced knowledge of Microsoft Office, especially Word, PowerPoint and Excel. • Experience with document management systems, electronic signature tools and corporate governance platforms will be considered an advantage. • Postgraduate degree or specialization in Corporate Law, Capital Markets, Business Law or related areas will be considered an advantage. • Strong analytical skills and attention to detail. • Excellent written and verbal communication skills. • Ability to organize and manage multiple tasks and deadlines simultaneously. • Ability to work autonomously with a strong sense of prioritization. • Collaborative mindset and ability to work in multidisciplinary teams. • Ease in interacting with different hierarchical levels, including senior leadership. • Business acumen and the ability to translate legal risks into practical and objective recommendations. • Interest in innovation, continuous improvement and digital transformation within the legal area.
