📋 Description

• Advise on corporate governance, securities law, and general corporate legal matters • Prepare, review, and file Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings • Partner with Finance and other stakeholders on SEC filings • Advise on Board and Board Committee governance matters • Draft and review meeting minutes • Support preparation and review of Board materials • Maintain and update corporate governance and legal policies and procedures • Support SEC and public company compliance practices • Support enterprise risk, compliance, and regulatory programs • Draft and negotiate complex commercial agreements • Manage outside counsel as appropriate

🎯 Requirements

• BA/BS and JD required • Active license and good standing in at least one relevant U.S. jurisdiction required • 9+ years of relevant legal experience in-house, at a law firm, or a combination • Demonstrated experience advising public companies • Significant experience with SEC reporting and securities law matters • Strong experience drafting and negotiating sophisticated commercial and sales agreements • Ability to independently assess legal and commercial risk and provide practical, business-oriented recommendations • Strong judgment, analytical, negotiation, and problem-solving skills • Proof of permanent authorization to work in the country of application without sponsorship
