📋 Description

• Work closely with the Chief Legal Officer on securities law, governance, and other corporate matters for Baylor Genetics and affiliated companies • Provide legal counsel and advice for global M&A and other strategic transactions from diligence through execution and integration • Coordinate and efficiently close complex transactions on tight timelines • Assist in managing overall legal affairs, ensuring compliance with laws and regulations, and mitigating legal risks • Provide legal and business guidance on financing and strategic transactions, including due diligence, drafting and negotiation of M&A transactions, joint ventures, and strategic investments • Support Treasury transactions, including equity and debt offerings, credit facilities, intercompany loans and agreements, and charitable support and foundations • Oversee corporate secretarial matters, including board and committee meeting notices, agendas, materials, minutes, and annual shareholder meeting preparation • Oversee creation, management, compliance, and dissolution of domestic and foreign entities • Develop and oversee equity plans, executive compensation programs, and related securities-regulation compliance • Develop and maintain SEC and securities-regulatory compliance policies and procedures, including Insider Trading Policy processes and Section 16 filings • Partner with Internal Audit, Finance, Compliance, and other organizations on insurance, risk management, and compliance programs • Draft, negotiate, and review complex agreements • Resolve legal issues through negotiation, pre-litigation dispute resolution, and settlements • Create template agreements, playbooks, training, and internal systems and procedures for efficient legal support • Contribute to organizational policies and procedures ensuring legal compliance • Support management of legal services budgets and efficient resource allocation

🎯 Requirements

• Juris Doctor (JD) degree from an accredited law school • Must be admitted to a US state bar in good standing • Minimum of 7 years of legal experience (84 months) • Preferably 3+ years of exposure to the healthcare industry as in-house counsel • Experience with emerging company private and public company financing, corporate governance, M&A, and equity compensation • Strong analytical and problem-solving skills • Excellent communication and interpersonal abilities • Ability to handle multiple projects in a fast-paced environment • Ability to exercise sound commercial and legal judgment • Capacity to work independently with minimal supervision and collaboratively in a team environment • Flexible and willing to take on different types of projects in a quickly scaling company • Strong understanding of SOX, Dodd-Frank Act, Nasdaq listing standards, and corporate governance initiatives • Basic understanding of fraud and abuse laws, FDA regulation, privacy laws including HIPAA and GDPR, and anti-corruption laws including the Foreign Corrupt Practices Act is helpful • Understanding of when to escalate issues to senior management • Skills in legal analysis, compliance support, contract review, risk assessment, litigation management, policy support, collaboration and communication, and budget management • Ability to direct and manage external counsel and advisors as needed
