• Lead review, drafting, negotiation, and execution of high-value, complex supplier and third-party agreements • Translate business objectives into contractual positions covering pricing, operations, service levels, AI use, data protection, and legal terms • Own complex negotiations by developing strategies, aligning stakeholders on priorities and fallback positions, and presenting risk-based recommendations • Partner across Clinisys to align supplier and third-party terms with corporate objectives and risk thresholds • Establish contract flow-down clauses binding Clinisys client commitments to downstream subcontractors and suppliers where applicable • Use approved AI-enabled contract management tools to review contracts, analyze clauses, identify risks, and validate outputs • Champion and maintain Pramata CLM as the system of record for contract requests, negotiations, approvals, and related activities • Consolidate critical and strategic supplier and third-party contracts into Pramata CLM • Develop and maintain supplier templates, playbooks, fallback positions, clause libraries, approval matrices, and contracting guidance • Ensure third-party agreements address global data privacy requirements and relevant information security standards • Monitor supplier obligations, renewal dates, commercial commitments, service levels, and remediation actions • Support integration and rationalization of supplier agreements arising from acquisitions, reorganizations, or technology transformation initiatives • Collaborate with Procurement, Finance, IT, QARA, Product, and business leaders
• Bachelor’s degree in business administration, law or related field or equivalent combination of education and relevant experience • Minimum of 7 years of progressive experience negotiating and managing complex commercial technology and services contracts • Solid understanding of commercial contract law, software licensing models, SaaS and associated terms • Advanced written and verbal communication, negotiation and diplomacy skills • Ability to work effectively across functions, geographies, and levels of seniority with limited supervision • Sharp business acumen and ability to work independently • Excellent analytical, critical and creative thinking skills • Sound judgment, integrity, ownership and accountability • Ability to prioritize and execute on deadlines while handling multiple tasks • Flexibility, resourcefulness and a team mentality • Proficient in MS Office Products • Must be located within the United States • Travel may be required
