📋 Description

• Support venture financings, including priced rounds, SAFEs, and convertible notes, from term sheet through closing • Draft ancillary documents, prepare signature pages, and manage signature and closing logistics • Incorporate and organize new entities, including formation documents, bylaws or operating agreements, initial resolutions, and corporate records • Implement and administer equity incentive plans and stock option grants, including board and stockholder approvals • Maintain capitalization tables and equity records using platforms such as Carta or Shareworks; manage related cap table due diligence • Handle corporate records management and ongoing corporate housekeeping, including annual filings, franchise tax, registered agent matters, and minute books • Assist with diligence for acquisitions, acqui-hires, and asset deals by organizing data rooms, tracking requests, and flagging issues • Draft and manage signing and closing checklists, closing documents, and closing volumes • Prepare board and stockholder resolutions and minutes • Serve as a direct point of contact for founders and clients on routine document requests, closing logistics, and status updates • Draft and revise standard agreements and templates under attorney direction • Work with attorneys to scope and prioritize matters and flag issues requiring attorney judgment • Use and refine AI-native workflows and playbooks for drafting, document assembly, and diligence • Identify workflow bottlenecks and help build scalable processes

🎯 Requirements

• 3+ years of corporate/transactional paralegal experience, with substantive ECVC experience: incorporations, venture financings, and cap table/equity plan administration • Experience with capitalization management platforms such as Carta or Shareworks • A four-year degree and/or a paralegal certificate from an ABA-approved program • Experience in a law firm, legal tech, or in-house legal environment; startup or high-growth company exposure strongly preferred • Solid working knowledge of NVCA-style financing documents, SAFEs, and convertible notes; exposure to startup-side M&A (asset deals, acqui-hires, company sales) is a plus • Substantial experience with Excel spreadsheets • Exemplary written communication and organizational skills • Ability to run the mechanics of a financing or closing independently and identify when attorney judgment is needed • Ability to multitask across several active matters in a deadline-driven environment • Curiosity about AI tools and enthusiasm for AI-native legal workflows • U.S. residency at the time of application • Legally authorized to work in the United States
