📋 Description

• Serve as legal lead for public company reporting, corporate governance, and capital markets activities • Own the SEC reporting lifecycle, including oversight and preparation of 10-K, 10-Q, 8-K, proxy, and related securities filings • Ensure filing accuracy, compliance, and strong disclosure controls • Partner with the Chief Legal Officer, executive leadership team, and Board of Directors on governance, disclosure, and public company matters • Manage Board and committee materials, governance policies, and Nasdaq compliance • Lead legal support for capital markets and financing transactions • Assist with strategic corporate transactions • Partner with Finance & Investor Relations, People, Tax, and outside counsel • Oversee subsidiary management, insider trading compliance and reporting, equity compensation, and related corporate governance activities

🎯 Requirements

• Strong experience with SEC reporting and public company securities matters • Experience managing 10-K, 10-Q, 8-K, proxy, and other securities filings • Strong understanding of corporate governance, disclosure requirements, and Nasdaq compliance • Experience supporting capital markets, financing, and strategic corporate transactions • Extensive experience advising public companies on SEC reporting, disclosure obligations, corporate governance, capital markets transactions, and related securities law matters • Combination of top-tier law firm training and meaningful in-house legal experience • Strong technical expertise and practical, business-oriented approach • Ability to operate independently in a fast-paced environment and manage complex matters with minimal oversight • Experience working directly with executive leadership, Boards of Directors, and cross-functional stakeholders • Strong communication skills across legal and business teams • Highly organized and detail-oriented, able to manage multiple high-priority workstreams • Strong judgment, ownership, accountability, and collaborative approach • Candidates must be based in the U.S. • Legally authorized to work in the United States • Must not require immigration sponsorship now or in the future
