📋 Description

• Evaluate land acquisitions and sales and structure and manage land transactions • Work on entitlement, development and construction processes • Advise on legal issues and risk associated with real estate transactions from contracting through due diligence, closing, entitlements, development and construction • Identify legal issues and risks and communicate legal and business recommendations • Undertake and manage due diligence, including title and survey review • Negotiate with buyers, sellers, governmental entities, development partners and other stakeholders • Work with real estate, entitlement, development and construction teams on land contracting, land use, entitlement, development and construction matters • Interact with landowners and landowners’ attorneys • Draft, negotiate and prepare contracts for land acquisitions, sales, entitlement, development, construction, infrastructure, procurement, vendor and complex transactions • Manage corporate entity filings and prepare corporate entity documentation • Advise on process improvements supporting business objectives • Manage outside counsel for local and regulatory issues • Collaborate in a highly matrixed environment • Report directly to the General Counsel

🎯 Requirements

• JD required from an ABA accredited law school • Admitted to and in good standing with a state bar • 5 to 8+ years of in-depth real estate and transactional knowledge and understanding of real estate law, land use, development, construction, corporate governance, complex contracts, compliance and regulatory matters for commercial real estate acquisitions and real estate development • Demonstrated success with all aspects of complex commercial real estate transactions • Comprehensive knowledge of real estate, development, land use, construction, infrastructure and complex transactions language • Extensive experience drafting, reviewing and negotiating real estate documents required for all steps of the real estate purchase, sale and development process • Comprehensive knowledge of corporate governance • Extensive experience drafting and preparing corporate entity documentation • Extensive experience drafting, reviewing and negotiating land use, entitlement, infrastructure and construction documentation • Experience with real estate finance and real investment trusts (REIT) • Extensive experience drafting, reviewing and negotiating complex contracts • Ability to work closely with cross-functional teams of internal and external resources to manage projects and teams to successful and predictable conclusions • Demonstrated project management skills, preferably connected to real estate acquisitions, sales, land use, development and construction • Ability to problem solve, leveraging independent analysis, local relationships, corporate resources and executive support • Significant travel to Tract markets required
