📋 Description

• Assist with origination, closing, and asset management of C-PACE financing transactions of $10,000,000+ • Draft commercial C-PACE financing and related agreements • Perform legal diligence on C-PACE transactions, including capital stacks, environmental documents, borrower organization documents, title work, condominium documents, leases, and contractor installation agreements • Review closing, conveyancing, loan, and corporate resolution documents • Track transaction tasks, parties, key dates, and progress • Track and follow up on post-closing matters • Coordinate recordation of C-PACE closing documents, amendments, and other documents • Conduct basic legal and business research • Assist with research, development, and rollout of new lines of business • Support capital market transactions and other business lines as needed

🎯 Requirements

• Required doctoral degree in law • Minimum 3+ years of law firm or in-house legal experience representing commercial real estate lenders • 5+ years of experience preferred • Experience with Commercial Property Assessed Clean Energy (C-PACE) financing structures preferred • Secondary market and securitization experience preferred • Experience structuring and negotiating work-outs and drafting forbearance agreements preferred • Sedentary work capability • Ability to work in one of the listed U.S. virtual locations: California, New York, Texas, Illinois, or Colorado
