📋 Description

• Own commercial legal work across XBOW • Structure agreements, close deals, and advise business teams as the company scales • Lead negotiations for enterprise customer agreements, SaaS and software licences, proof-of-concept agreements, partnership and reseller arrangements, procurement contracts, and data processing agreements • Work with Sales and Finance on deal structure, negotiation strategy, and escalations • Advise on data use, model training restrictions, intellectual property ownership, confidentiality, warranties, liability, and third-party AI provider terms • Support Product, Engineering, and Security teams with legal considerations for new capabilities and customer terms • Define contractual testing permissions, scope, acceptable use, vulnerability findings, and sensitive customer information handling • Develop templates, negotiation playbooks, approval workflows, and legal guidance • Deliver practical training and clarify when colleagues should involve Legal • Identify emerging legal issues, coordinate specialist external advice, and contribute to broader business projects

🎯 Requirements

• 7+ years of commercial legal experience • Substantial responsibility for drafting and negotiating complex technology agreements • Prior in-house legal experience at a technology company • Experience working directly with product and technical stakeholders • Experience working within a startup • Direct legal experience advising on AI products or services, including commercial terms, data rights, intellectual property, and risk allocation • Qualified lawyer admitted to practise in a relevant jurisdiction • Strong track record of independently leading enterprise commercial negotiations from initial review through signature • Sound commercial judgment and ability to explain trade-offs clearly and recommend a way forward • Working knowledge of privacy, data protection, and information security issues relevant to technology contracts • Clear communication, strong ownership, and ability to manage competing priorities • Curiosity about supported technology and willingness to work through unfamiliar questions • Experience in cybersecurity, offensive security, or developer tools is advantageous • Experience negotiating international enterprise transactions is advantageous • Experience building a commercial legal function or improving contract management systems is advantageous • Experience using AI tools to improve legal workflows is advantageous
