📋 Description

• Execute and ensure the completion of activities and operations under your responsibility, ensuring quality, deadlines, and compliance. • Draft, review and negotiate NDAs, MoUs, purchase and sale agreements, shareholders' agreements, regulations, and other contracts. • Perform corporate routines: incorporations, amendments, reorganizations, shareholder meetings, and corporate books. • Issue executive opinions and technical notes focused on risks, legal alternatives, and execution efficiency. • Monitor deadlines and timelines, ensuring compliance and quality of deliverables. • Collaborate with Governance, Internal Controls, and Compliance teams. • Conduct corporate and financial due diligence, organizing repositories and data rooms for transactions.

🎯 Requirements

• Active OAB registration (Brazilian Bar Association). • Knowledge of Corporate/Business Law, M&A, Civil and Contract Law. • Experience with commercial contracts, corporate governance (LTDA and S.A.), due diligence, and document organization. • Ability to analyze legislation, regulations, and resolutions. • Experience handling regulatory matters before the Brazilian Securities and Exchange Commission (CVM) and the Central Bank of Brazil (BACEN). • Advantageous: familiarity with CVM regulation and fund structures.
