📋 Description

• Lead employee equity plan operations end to end, including BSPCE, BSA, stock options, and future mechanisms • Coordinate ESOP grants with internal and external stakeholders • Support employees who receive equity awards • Manage post-grant activities, including exercises, liquidity/secondary events, departures, international mobility, and changes in status • Execute these transactions from A to Z, including documentation, project timelines, HR/Finance coordination, and communications to award recipients • Monitor and update the cap table on a daily basis • Prepare and maintain corporate documentation and filings related to capital transactions • Support employees holding options and HR teams, particularly Operations and Talent Acquisition • Structure, document, and optimize equity processes, notably through standardization, automation, tooling, and AI • Monitor regulatory developments relating to employee equity plans and capital transactions in France and Europe • Collaborate daily with Legal, Finance, and People teams across Europe

🎯 Requirements

• At least 2 years of experience in corporate law, in a law firm and/or in-house, with significant exposure to equity matters • Strong foundation in corporate law and capital transactions, including governance, documentation, filings, and transaction coordination • Strong knowledge of regulations applicable to employee equity plans and capital transactions, including BSPCE, BSA, and stock options • Knowledge of related corporate formalities and filings • Exceptional attention to detail and strong organizational skills • Ability to propose effective solutions and move initiatives forward with simplicity and agility • Interest in tooling, automation, continuous improvement, and innovative tools/AI • Ability to work effectively with People, Finance, and Talent Acquisition teams • Excellent written and verbal communication skills in both French and English • Fluency in English required • Formal legal education and practical knowledge of French corporate law and capital transactions • Professional fluency in both French and English, including the ability to review legal documents and explain technical legal topics in both languages
