📋 Description

• Advisory and strategic work in Corporate Law and Corporate Governance, with experience in publicly-held companies and in environments regulated by the Brazilian Securities Commission (CVM) and B3 (Brazil Stock Exchange). • Drafting, reviewing and negotiating corporate instruments, including minutes of general meetings, board of directors and committee meetings, shareholders’ agreements, articles of association and corporate policies. • Legal support for corporate governance routines, corporate secretariat duties and relationships with board members, executive management, investors and external auditors. • Management of regulatory obligations for publicly-held companies, including Reference Forms, material facts, market communications and other periodic and ad hoc disclosures. • Advising on corporate transactions, corporate reorganizations, capital increases, dividend distributions, mergers and legal due diligence.

🎯 Requirements

• University degree (Law); • Experience in Corporate Law and Corporate Governance; • Experience handling regulatory obligations of publicly-held companies; • Knowledge of corporate compliance, risk management, business ethics and implementation of internal policies; • Advanced/Fluent English.
