📋 Description

• Draft and negotiate transactional documents such as NDAs, NBOs/LOIs, SPAs, SHAs, FIDCs and earn‑out agreements • Structure and execute domestic and cross‑border M&A transactions, from initial review through post‑closing • Manage timelines, monitor deadlines and coordinate external counsel and internal teams • Monitor the satisfaction of closing conditions, covenants and representations and warranties • Support capital structure transactions • Maintain and update the Asaas group corporate structure • Administer and file corporate documents • Conduct corporate reorganizations, including mergers, demergers (spin‑offs) and incorporations • Liaise with foreign law firms and agents • Support corporate governance • Analyze the impact of M&A transactions, investment rounds and secondary sales on the cap table • Review acceleration, anti‑dilution, vesting and liquidation preference provisions • Structure and review incentive plans and retention packages

🎯 Requirements

• Law degree and active registration with the Brazilian Bar Association (OAB) • Advanced English (written and spoken) • Solid experience in Corporate Law and M&A • Strong interface with business areas and structured operations (FIDCs, IPOs, etc.)
