📋 Description

• Draft, review and negotiate high-complexity contracts focused on the retail and distribution ecosystem, including: Franchises (including the COF), Commercial Leasing, Supply, Distribution, Service Provision (Marketing, Marketplace, Influencers) and Transportation/Logistics. • Work in international trade: preferably support international supply contracts (focus on wineries). • Business partnership: Actively participate in strategic negotiation meetings and BU decision-making, anticipating legal risks without compromising operational agility. • Clear legal language: Translate legalese into commercial language, proposing safe, viable and innovative alternatives for business teams. • Legal Ops: Structure and implement a Standard Clause Bank and approval workflows in the contract management system (Projuris). • Contract Lifecycle Management (CLM): Monitor the contract lifecycle, ensuring compliance with internal SLAs and producing periodic reports for the Head of Legal. • Executive communication: Prepare opinions, memoranda and executive communications with clarity, concision and a focus on decision-making. • Litigation management: Manage the portfolio of disputes with the greatest economic or institutional impact, such as B2B channel defaults, franchise non-compete clause disputes and high-profile actions. • Third-party management: Act as the technical interface and monitor performance/metrics of external law firms. • Risk analysis: Assess procedural risks and propose dispute resolution strategies aligned with the company’s growth objectives. • Provide preventive/consultative support to the Human Resources team to mitigate labor risks. • Apply knowledge of labor litigation to support the company’s strategy in high-relevance cases.

🎯 Requirements

• University degree in Law with active registration with the Brazilian Bar Association (OAB). • Experience in Contract Law (focus on Retail, Franchising, Real Estate or Logistics) and Strategic Civil Litigation. • Strong verbal and written communication skills to operate between legal and commercial teams. • Proactive, hands-on and organized. • Recognized as a technical reference in the field. • Experience with import/international supply contracts. • Advanced English.
