📋 Description

• Drafting, reviewing and managing corporate acts for limited liability companies and corporations (articles of association, bylaws, minutes, powers of attorney, among others). • Organizing, updating and maintaining corporate books and records. • Acting as the corporate governance secretariat, including support to boards and committees, preparation of agendas, minutes and monitoring of resolutions. • Supporting the Investor Relations (IR) team with periodic obligations applicable to a public company and related corporate matters. • Providing strategic support in corporate transactions, including reorganizations, incorporations, acquisitions, mergers and spin-offs. • Handling corporate filings and registrations with Commercial Registries, notary offices and competent authorities, with strict deadline control. • Liaising with internal areas such as Finance, Compliance, Internal Audit and Controllership, as well as with external law firms and advisors. • Preparing legal analyses and guidance on corporate and governance matters. • Supporting corporate due diligence processes, when applicable. • Performing other activities related to the corporate area consistent with the level of the position.

🎯 Requirements

• Law degree with active OAB registration. • Prior experience in Corporate Law. • Solid knowledge of corporate routines and applicable legislation. • Experience drafting and managing corporate acts and documents. • Experience in a public company, structured corporate groups or complex corporate environments is desirable.
