📋 Description

• Support day-to-day operations across multiple portfolios of companies • Support M&A activities from the operations side where necessary • Provide strategic legal guidance on matters critical to growth and operations • Draft, review, negotiate, and manage complex commercial agreements, including software licensing, SaaS, vendor, customer, and partnership agreements • Advise on corporate governance and compliance issues • Support employment law matters and HR initiatives • Assist with intellectual property licensing, management, and protection • Maintain corporate records and ensure compliance with corporate formalities • Provide guidance on regulatory compliance matters • Collaborate with business teams to identify and mitigate legal risk • Support M&A due diligence and navigate multi-jurisdictional legal issues

🎯 Requirements

• Juris Doctor (J.D.) from an accredited law school • Active admission to practice law in good standing in the United States • Minimum 5 years of legal practice experience, in a law firm or in-house • Exceptional drafting and negotiation skills, including drafting and structuring complex commercial agreements • Strong analytical and problem-solving abilities with sound legal judgment • Proven business acumen and ability to provide practical, commercially oriented legal advice • Experience managing multiple priorities and stakeholders in a fast-paced environment • Excellent communication skills and ability to distill complex legal concepts for business audiences • Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders • Knowledge of technology, software, and AI licensing agreements and SaaS business models • Knowledge of commercial contracts, including vendor agreements, partnership arrangements, and customer agreements • Knowledge of global corporate governance and compliance frameworks • M&A support and due diligence experience • Knowledge of international and U.S. operations • Employment law and HR-related legal matters knowledge • Intellectual property management and protection knowledge • Ability to work independently while collaborating effectively across teams • Strong organizational skills and attention to detail • Comfortable operating in an entrepreneurial, high-growth environment • Legally authorized to work in the United States
