📋 Description

• Support preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements • Review earnings releases, call scripts, investor presentations, and market-facing communications for legal accuracy and compliance • Support the annual shareholder letter and shareholders’ meeting with the Corporate Secretary • Monitor securities laws, Nasdaq listing requirements, SEC regulations and guidance, proxy advisory guidance, and public-company governance practices • Administer the Securities Trading Policy, including trading windows, blackout notices, and Rule 10b5-1 plan review • Manage Section 16 compliance, Forms 3, 4, and 5, and directors’ and officers’ beneficial ownership tracking • Advise on share repurchase programs • Serve as Treasury’s in-house legal partner on asset-backed securitizations, warehouse facilities, revolving credit facilities, and senior notes offerings • Partner with external counsel to draft and negotiate transaction documents • Coordinate transaction deliverables with underwriters, initial purchasers, trustees, rating agencies, and lenders from structuring through closing and post-closing reporting • Advise on securitization regulatory requirements and legal trends • Oversee formation, maintenance, resolutions, and records for special-purpose financing subsidiaries • Direct specialized outside counsel and manage budgets, quality, and turnaround expectations • Identify work to bring in-house and build templates, checklists, and playbooks to reduce legal spend • Serve as a securities and capital markets resource for Legal, Compliance, and business partners • Keep related policies and job aids current • Own matters through completion and manage multiple deadline-driven matters

🎯 Requirements

• JD from an accredited law school • Active admission in good standing to at least one U.S. state bar • Ability to register as in-house counsel in the state where based • 10+ years of corporate and securities experience, including training at a leading law firm or federal government agency • Hands-on experience preparing and advising on Exchange Act reports (Forms 10-K, 10-Q and 8-K) and proxy disclosure for a public company • Working command of the Securities Act and Exchange Act, Regulations S-K, S-X, FD and G, Section 16 and proxy rules, Rule 10b5-1, Sarbanes-Oxley, and relevant Dodd-Frank provisions • Sound judgment on materiality and disclosure risk • Ability to provide clear, practical advice to senior executives under tight deadlines • Excellent drafting and negotiation skills • Ability to finalize filings and transaction documents without depending heavily on outside counsel • Daily use of AI tools, with clear examples of how they changed your own legal work • Must not require sponsorship now or in the future to work legally for Credit Acceptance, including H-1B, H-4, or F-1 OPT visa holders
