📋 Description

• Own negotiation, redlining, and closing of most Hadrian agreements, including consultant agreements, master services agreements, statements of work, supplier and manufacturing contracts, non-disclosure agreements, and research collaboration agreements • Engage and manage outside counsel when additional legal support is warranted • Build and maintain legal templates, standard positions, fallback language, and negotiation playbooks • Run the contract lifecycle from intake and approval through execution, repository, and closeout • Maintain a complete, accurately tagged, searchable contract record as the single source of truth • Track renewals, expirations, notice windows, confidentiality, data protection, insurance, and reporting commitments • Manage the commercial side of vendor relationships, including competitive selection and pricing negotiations • Own vendor onboarding and ongoing performance management, including supplier consolidation and renewal, renegotiation, or exit decisions • Align contracting with purchasing, spend approval, and payment so commitments are visible to Finance and reflected in budgets

🎯 Requirements

• Negotiated and redlined a broad range of commercial agreements and can take a contract from first draft to signature with limited supervision • Understanding of indemnification, liability caps, intellectual property, confidentiality, data protection, and termination risks • Experience working closely with internal and external lawyers • Experience building or substantially improving contract administration tools, including templates, intake and approval routing processes, contract records, obligation tracking, and renewal management • Ability to balance concurrent matters and deadlines while tracking obligations and agreement status • Experience managing supplier relationships commercially, including competitive selection, pricing negotiation, and performance management through renewal or exit • Direct and constructive approach with counterparties • Demonstrated alignment with Hadrian’s values • Experience in life sciences, biotechnology, medical devices, or manufacturing preferred • Frequent use and readiness to adopt AI tools, with discipline to verify outputs preferred • Experience with government, philanthropic, or grant-funded agreements, including flow-down and reporting obligations preferred • Experience selecting or implementing a contract lifecycle management system preferred • Law degree, paralegal qualification, or contract management certification preferred
