📋 Description

• Build and lead VEC's commercial contracting function, owning agreements from intake and negotiation through execution and closeout. • Review, draft, and negotiate client, general contractor, subconsultant, and vendor agreements, amendments, NDAs, and data and security terms. • Negotiate directly with general contractor and client legal or contracts teams and resolve contractual terms. • Align subconsultant agreements with VEC's client obligations. • Negotiate indemnity, defense obligations, liability limits, insurance requirements, payment protections, intellectual property, and other contractual risks. • Provide leadership with recommendations on material exceptions, risks, and trade-offs. • Control approvals, final versions, signature sequencing, and execution records. • Ensure work begins under an executed agreement or approved exception. • Own prequalifications, vendor registrations, and compliance questionnaires. • Manage contractual obligations, notices, changes, renewals, disputes, and closeout. • Build contract templates and a usable contract playbook. • Train project teams on contract standards and escalation paths. • Coordinate the insurance broker and outside counsel and determine when specialist input is needed. • Own business insurance renewals, including applications, broker recommendations, officer approval, and policy records. • Report to the VP Administration & Finance.

🎯 Requirements

• Seven or more years of contract review and negotiation experience, including substantial recent experience in architecture, engineering, construction consulting, or construction technology services. • Direct responsibility for drafting redlines and negotiating professional-services agreements and proprietary GC subcontract forms with client legal or contracts teams. • Strong understanding of professional-services standard of care, indemnity and defense, liability limits, consequential damages, construction insurance, intellectual property, and payment protections. • Experience aligning subconsultant agreements with client obligations. • Experience building or improving contract processes and execution controls. • Bachelor's degree or equivalent relevant experience. • Proficiency with Microsoft Word track changes and comparison tools. • Experience with contract lifecycle management or document management platforms, or comparable intake, approval, and records systems. • Proficiency with e-signature platforms such as DocuSign or Adobe Acrobat Sign. • Proficiency with prequalification and vendor registration platforms such as ISNetworld, Avetta, or client-specific portals. • Working proficiency with Excel or Smartsheet. • Sound independent judgment and ability to recognize when leadership or specialist advice is needed. • Ability to explain risk positions plainly to non-contract professionals. • Comfort working as a senior individual contributor without direct reports initially. • Willingness to train project teams. • Preferred: experience coordinating business insurance renewals; familiarity with AIA and ConsensusDocs forms; experience with prequalification platforms, data and security terms, or international service delivery; JD, paralegal training, or contract management certification.
