📋 Description

• Draft, review, and negotiate commercial agreements, including master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, and services agreements • Partner with sales, procurement, and business teams on contract terms, risk allocation, and negotiation strategy • Maintain and continuously improve contract templates, playbooks, standard terms, and the contract management system, such as Ironclad • Escalate complex, high-risk, or non-standard contract issues to senior legal leadership • Monitor legal and regulatory developments affecting commercial contracting in the semiconductor industry, including export controls, trade compliance, and IP licensing • Partner with finance, compliance, and other internal stakeholders on contract-related matters • Advise on routine and moderately complex contracting matters and collaborate with senior legal team members on complex, strategic, or non-standard transactions

🎯 Requirements

• J.D. from an ABA-accredited law school • Active membership in good standing with at least one U.S. state bar • 3–5 years of relevant legal experience in commercial transactions, contract drafting/negotiation, or technology transactions • Strong contract drafting skills and attention to detail • Ability to manage a high volume of contracts simultaneously • Excellent judgment balancing legal risk with business objectives • Ability to work independently and prioritize effectively • Clear communication with non-legal stakeholders • Preferred: 1–2 years of experience at a large law firm (Am Law 50 or equivalent) with a transactional or technology transactions practice • Preferred: Experience in the semiconductor, electronics, or advanced technology manufacturing industry • Preferred: Familiarity with semiconductor-specific contract structures, including IP licensing, equipment and materials supply and purchase agreements • Preferred: Familiarity with Ironclad • Education & Experience: Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years and a Master’s degree; or a PhD without experience; or equivalent work
